Penny stocks are stocks that cost less than $5 per share and are not traded on the major exchanges such as AMEX, NASDAQ and NYSE. Instead, they are traded on the OTCBB or the Pink Sheets. The OTCBB stands for Over the Counter Bulletin Board and is an electronic system of reporting that is regulated by the NASD but is not a part of the NASDAQ stock exchange.

Any company on the OTCBB must be current with all required filings with the Securities and Exchange Commission. However they are not required to quote market capitalization, minimum price of shares or corporate governance. Often companies that do not meet the requirements of the major exchanges for whatever reason are quoted on the OTCBB. Then there are the Pink Sheets. The name Pink Sheets comes from the color of the paper that was once used.

Pink Sheets companies are those who are non reporting. This means their SEC filings are not current. Often you will find the same companies quoted on both the Pink Sheets and OTCBB. You can tell a Pink Sheets stock by the designation .pk at the end of the stock symbol. Both OTCBB stocks and Pink Sheets stocks are quite risky. Even the SEC warns investors to stay wary of these stocks and watch out for various investment scams. Scam artists may try to entice you to buy large quantities of a stock they are trying to manipulate. Therefore, it is important to use caution when buying penny stocks.

The penny stocks buying selling process is very simple. You will need a brokerage who offers trading of OTCBB and Pink Sheets stocks. To buy shares of a stock, simply enter the stock symbol and specify how many shares you want to purchase. The funds will be drawn from your investment account which you opened with the brokerage. You can also set the price you want to pay for the stock and how long you want the order to remain open.
